Kingston July 2, 2007- IPO and business development update

Kingston, July 29, 2009

Our company’s recent progress in new technological developments, most notably our ability to connect in real-time to on-board computers of vehicles that provides among other features, the ability to monitor gas consumption and pollution emissions, our breakthrough advances in two-way communications with drivers, our continuing progress in real-time RFID identification of people, containers and bins that allows for instance instant tracking of children coming in and out of a school bus  and our seamless integration with routing, route optimization and dispatching software provide us with an advantage in bidding for large contracts with states, counties and municipalities throughout the US that come to market in part under the stimulus package.  We are currently bidding for thousands of accounts for the Fleet and People management needs of Ulster County, New York, Erie County, New York, the City of Port Arthur, Texas, the City of Everett, Washington, the Tacoma School District, Washington, the Department of Corrections for the State of Wisconsin, etc.

A new major project is the replication of a Waste Management and Recycling program that we implemented successfully in Europe with several large waste management companies.  The first step in that direction was taken with the City of Boston where we implemented a program of waste collection in real time associated with RFID identification of bins.  The second step involves a complete pilot with a NY State waste management company that involves in addition to the above, route management and optimization under constraint, container location, engine diagnostics and two-way communication with the drivers.

We continue to enjoy an extremely high level of customer satisfaction, as evidenced by close to 100% client retention rate.  The reliability and robustness of our system gives us the confidence to be time tested with our expanding customer base.

As an update to our previously announced protocol of understanding with a group of US and European companies for the roll-out of our RFID solutions, which involved substantial investments in manufacturing and distribution on their part and on their part only, the current disruptions in the financial markets have delayed full implementation of the project; however, in view of the synergies between our groups and the strong willingness to push forward, we have initiated an informal working agreement between us pending finalization.

Kingston, September 15, 2008

We are pleased to announce that our unique ability to combine GPS tracking and positioning with short term radio frequency identification (RFID) has already attracted strong interest on the part of a group of US and European companies.

We have signed a protocol with that group of companies that includes two distributors in the US and in Europe, as well as other European companies and a manufacturing facility for the rollout of our solutions in European countries and in Scandinavia.

Targeted markets that are already in relationship with our new partners include private sector container identification and parcel tracking as well as government-sponsored waste management and security.

Company’s management is currently in Europe to finalize the contracts with an expected completion date of early October at which time the partners’ identities, that are currently under a confidentiality non-disclosure agreement, will be announced.

While continuing to actively pursue our IPO efforts, we strive to expand the activities of your company in order to strengthen our appeal for the public markets as soon a window of opportunity occurs.

 IPO update

We met with a senior executive at the Euronext in Paris, France to whom we presented all the documents, legal opinions and correspondence that we had over the past few months regarding the administrative hurdles to our listing, particularly with the Euroclear in Brussels, Belgium.  We informed him that we had previously been directed, apparently erroneously, to the Euroclear as the recommended next step in our application. The various steps that we have undertaken are documented in previous News. The Euronext executive confirmed that they are the right channel and that he will review our case and revert to us in short order with a clear position and procedure. We will keep our shareholders informed of any new developments as they occur.

IRISIO/STI is pleased to announce another step in the penetration of the key Middle Eastern market with the deployment of our first installations with SECURICOR in Manama, a major Bahraini company in the field of security systems services.  This adds to our recent commercial successes in Kuwait, which will shortly be followed by installations in Qatar.  As mentioned in previous releases, the major initiatives undertaken over the past 12 months, our participation at three major trade shows in Abu-Dhabi, Dubai and Kuwait are increasingly bearing fruit.  We now have significant relationships with established Middle Eastern companies for distribution of service and equipment and for leading technological developments in the field of protection and security.

We are also pleased to report that our key role played in August 2007 in the pioneer Mont Blanc Ultra Trail Race is again emphasized for the upcoming August 2008 race in a much wider context than last year.  This year, the operating partners of the race are IRISIO, GARMIN and NORTH FACE, and the sponsors are such well recognized companies as LUCENT, EVIAN, etc. As we did last year, we will equip the  runners with small tracking devices to be carried at high altitude in a rugged environment, where no one previously was able to track and trace. For the second  time ever, Web surfers will be able to follow the race in real time on Google Earth 3D in such an environment.   This well-publicized race is receiving wide world-wide acclaim and participation.

IPO Update.

The next step in the process of going public is a meeting with the Euronext in Paris that is scheduled for June 5.

STI is pleased to announce the highly visible presence of IRISIO at the BATIMAT trade show, the international reference in its field, taking place in ABU DHABI between April 20 and 23. The Middle East and in particular the Gulf countries are experiencing an unprecedented building boom encompassing all sectors of the economy, from private construction, to airports, ports, government facilities and infrastructure, all high consumers of fleet, transportation and equipment management services, products and solutions that we offer.

Particular emphasis will be placed on complete security systems, which are in high demand in this part of the world, from security at airport facilities, around refineries, at docks and in government buildings in general. Our combined integrated technologies are presented in the perimeter of our common high-tech media-oriented stand at the trade show. Below is an artist’s rendering of the actual stand.

Kingston, March 24, 2008-IPO update

As reported in previous news, we have been pressing the Euroclear headquarters in Brussels to provide a clear position on their perception of the remaining administrative issues pertaining to our listing on the Marché Libre of the Euronext. The Euroclear has just responded to the second letter from our counsel that was sent on December 7, 2007, clearing the way and instructing us to establish a direct contact with the Euronext. We are interpreting this rather laconic message as a sign of encouragement, since we were instructed previously to first seek the clearance from the Euroclear prior to approaching the Euronext. We intend to meet with the Euronext representatives in the early part of April and we will keep our shareholders abreast of new developments as they occur.

Technology update

The Smart Technology strategy of innovation is to consolidate our position as technology leader in professional mobility management of vehicles, people and goods. Our level of excellence is widely recognized in our market and is evidenced by an increase in the number of installed and committed subscriptions over the past three months in excess of 50% over the September 2007 level. We continually respond to market needs and as a result, our growth momentum in absolute terms and also in comparison to the competition is on track to propel us to the #1 market position in the near future. A recap of recently introduced new versions and functionalities is provided as follows:

  • In December 2007, we launched version 2.0 of our geolocalisation platform and made it available to our entire customer base. Significant improvements and new functionalities were added including vastly improved computation power and decreased response time.

  • In January 2008, we launched version 2.0 of our navigation software Phenix Navigator. The brand new mapping engine together with revamped interface allows the integration, within the same on-board terminal, of navigation and route management. First market deployment is taking place in the US and in France with the rugged and versatile, on-board and off-board PDA manufactured by GOTIVE. A version 2.1 is scheduled for the first quarter 2008 that will add a two-way interactive messaging capability.

Other developments

We were able to provide breakthrough solutions in new uncharted areas, and in the process we received acclaim and publicity from prominent humanitarian, sports safety and security response organizations in various parts of the world, and in particular,

  • In November, 2007, we installed and successfully tested GPS tracking in a helicopter that we tracked and traced on-line on Google Earth during a humanitarian operation in Bangladesh.

  • In September, 2007, we equipped with GPS/GSM trackers the security team for the Jet Ski race Calvary Jet Games operating offshore. The National Marine Safety Guards (SNSM) in France was then able to follow on-line sea rescue interventions and optimize the response time for rescue interventions.

In August 2007, in cooperation with Ultra Trail du Mont Blanc, sponsored by the US apparel North Face, we equipped several runners with small tracking devices that they carried in high altitude in a rugged environment, where no one previously was able to track and trace. For the first time ever, Web surfers were able to follow the race in real time on Google Earth 3D in such an environment. A giant display was also provided in Chamonix where the crowd of supporters was able to follow in real time this well publicized race.

Our rapid pace of global expansion is particularly evidenced by our recent successes in the Middle East. As previously announced, our exclusive distributor in Kuwait, Kuwait British Factory (see site at www.ekbf.com), thanks to their ubiquitous clout in that country, was able to secure a contract of 1500 vehicles for Kuwait City as well as other contracts for 900 vehicles. These are only the first forays into a vast and highly profitable market which, beyond Kuwait, extends to the whole Middle East. KBF is sponsoring our attendance and promoting our services and presence in the Middle East at the occasion of a major trade show that is taking place in Kuwait in early February.

Also, our excellent reputation coupled with unique connections culminated in our endorsement in Saudi Arabia by Al-Nahr (www.Al-Nahr.com), which is controlled by the powerful the Al Dawalibi family. We should be in a position in our up-coming News releases to inform our shareholders of the vast benefits, already in the works, resulting from our close connection to the Al Dawalibi family.

Kingston, January 10, 2008-IPO update

Further to our News update of October 18, our specialized legal counsel has addressed a formal opinion letter to the Euroclear Headquarters in Brussels on December 7, 2007, which strongly states that, after verification with the US Securities and Exchange Commission (SEC), there should not be ANY administrative or regulatory impediment to our Euronext listing in the shortest possible time frame. We will be pressing Euroclear over the next weeks for a clear position on that fact. We will keep our shareholders informed of our progresses as they occur.

Kingston, October 18, 2007

IPO Update. Management of Smart Technology, Inc. has taken the following steps to resolve to listing approval delays at the Euronext/Euroclear offices in Brussels, Belgium:

Our SEC counsel is issuing a letter to the Securities and Exchange Commission in Washington requesting confirmation that our company listing process in Europe does not fall under any US regulatory authority. This preliminary step is necessary to establish proper due diligence and provide the opportunity for an official position on the part of the Commission's staff,

After allowing appropriate response time, whether a formal response occurs or not, our counsel will issue a legal opinion stating that, unless disproved by the SEC, Smart Technology does not fall under any US regulatory authority. Such opinion will be communicated to the legal staff of the Euronext/Euroclear in Brussels with the request to lift the restrictions that they have placed for our listing on that market.

We will provide shareholders with regular updates on our progress with the regulators.

In further illustration of technological advancement, Smart Technology was able to provide real-time tracking and follow-on of two major sporting events in the French Alps and in the Mediterranean Sea. These two events, which received wide coverage, were performed to perfection in rugged and difficult terrain and offshore; they represent another milestone in our quest for protection and security of people.

The first event, which was sponsored by North Face, the apparel manufacturer, tracked and traced in real time endurance runners in high altitude and remote mountainous areas. The second event was a high-speed jet-sky sporting event that took place offshore in the Mediterranean, where emergency and security personnel were able to track, locate and assist the racing teams. This second event provided us with extensive coverage and publicity with fire and rescue brigades of several European countries.

We are also happy to report our new partnership with Paradyme Technology of the US. Paradyme is the exclusive integrator and representative of Gotive in the US. Gotive manufactures a line of premium rugged PDA for navigation and positioning purposes, specialized in highly profitable vertical markets, which integrate into our mobility management system. With Paradyme, we are able to penetrate the promising vertical cement market among others.

On the IPO front, we are actively pursuing the resolution of the administrative hurdles that we encountered with the Euroclear in Belgium; we have engaged the services on a reputable law firm that assist us in the process.

Kingston, August 27, 2007

A major distribution contract for Kuwait has been signed with a prominent partner. This local company is our exclusive distributor for the country of Kuwait, catering to the fleet management and security needs of all transportation, public works and government entities. Our partner has already been solicited for rapid deployment of our offer in the shortest possible time frame on the part of public as well as private companies. We are expecting substantial deliveries in the course of the last quarter.

In other news, over the summer, EFI, our Investment Bank for the Euronext introduction, has worked diligently with the European authorities of the Euroclear/Euronext in Brussels and in particular the Legal Division Euroclear SA/NV, to sort-out and familiarize them with all administrative and regulatory issues pertaining to the listing of a US company on a European market, since the Euronext, unlike the London AIM, has limited experience in this area. Our next update on our IPO will be in the first week of September.

Kingston July 2, 2007- IPO and business development update

Since our news of May 15, our company's management and the Investment Bank in charge of the Euronext introduction are fine-tuning the final steps for listing prior to the summer recess period. An updated calendar will be communicated to shareholders after senior meetings in Paris that are taking place at the end of the week.

In other news, we are happy to report that we have signed three major VAR and distribution contracts with (1) Fleetronic and their partner, the SkyTronic Group. SkyTronic founded in 1998, has a presence in 10 countries and is a market leader in the distribution of consumer and professional electronics; (2) Locatecs, a European manufacturer of tracking devices with an existing customer base to be transferred to our platform; (3) SyncomITC, a major distributor of electronics to the trucking industry. The deployment of thousands of new accounts will be added to our existing base of over 7500 accounts, thereby consolidating our #2 position in the French market and our ambition to become #1 in 2007 and the European leader in 2008.

We are also happy to report that the French Agency for innovation Anvar/Oseo has agreed to release the second tranche of funding in recognition for our leadership in tracking and positioning technology.
